Insiders of companies listed at a US stock exchange are required by law to report their trades to the US Securities and Exchange Commission (SEC). Insiders are, for example, members of the board of directors, officers, or individuals/entities holding more than 10% of a company. Accordingly, insiders make their trades based on information that the public doesn’t have about the future performance of a company.
